Effective Date: January 1, 2026. Standard terms governing equipment procurement, custom engineering contracts, warranty claims, and field repairs.
By procuring machinery, utilizing field services, or accessing technical documentation provided by Johnson Industries Inc., the purchaser or enterprise user ("Buyer") agrees to be bound by the following legal conditions.
1. Custom Equipment Orders & Acceptance
All custom machinery builds—including specialized Uni-Car personnel carriers, auger sampling platforms, and custom mobile electric chassis—require signed approval of final engineering blueprints prior to fabrication start. Purchase orders are binding upon receipt of initial deposit and engineering sign-off.
2. Pricing, Shipping & Title Transfer
Unless explicitly agreed otherwise in writing, all prices are quoted Ex-Works (EXW) Columbus, Georgia Facility (Incoterms 2020). Risk of loss and title to machinery transfer to Buyer upon tender of shipment to the designated commercial freight carrier. Buyer is responsible for all customs duties, tariffs, and regional import taxes.
3. MSHA & Regulatory Compliance Disclaimer
While Johnson Industries Inc. manufactures equipment compliant with applicable MSHA Title 30 CFR standards and OSHA powered industrial truck directives, the ultimate operator remains solely responsible for ensuring proper mine ventilation, hazardous gas monitoring, and certified operator training in accordance with localized mining laws.
4. Limited Warranty Scope & Liability Exclusions
Johnson Industries Inc. warrants new chassis frames against structural failure for five (5) years and electric drive motors for two (2) years. Wear items—including auger cutting teeth, brake pads, tires, and routine filters—are excluded from warranty coverage. Unauthorized mechanical modifications or operation outside specified load limits immediately voids all factory warranties.
5. Field Service & Technician Dispatch Conditions
Field repair technicians dispatched to client job sites operate under the safety jurisdiction of the facility owner. Buyer agrees to provide a safe working environment compliant with applicable OSHA/MSHA underground and industrial safety regulations during all repair operations.
6. Governing Law & Dispute Resolution
These terms shall be governed by and construed under the laws of the State of Georgia, United States. Any disputes arising out of machinery sales or engineering contracts shall be resolved via binding arbitration in Columbus, Georgia.
